The general meeting is the highest governing body of the company, and its proper preparation directly affects the validity of the decisions adopted. A general meeting that is improperly convened or conducted may lead to challenges to the resolutions and disputes.
We will prepare the invitation or notice in accordance with the law and the articles of association—including compliance with the statutory deadline for delivery, which is at least 15 days for a limited liability company (s.r.o.) and at least 30 days for a joint-stock company (a.s.) prior to the general meeting—as well as the supporting documents and draft resolutions.
We will provide legal assistance directly during the general meeting—from verifying quorum and ensuring proper voting procedures to drafting resolutions so that they comply with the law, the articles of association, and the bylaws.
We will prepare the minutes and register the adopted resolutions in the Commercial Register—the application to register the changes must be filed within 30 days of the date the resolution was adopted; otherwise, a fine of up to €3,310 may be imposed.
We can also provide advice in the event that the adopted resolutions are challenged—including within the three-month statutory period during which a court may be asked to declare them invalid.
We will also organize a vote outside of the general meeting, that is, in writing (per rollam)—including drafting a resolution, setting a deadline for responses, and counting the votes according to the majority principle.
