Liquidation of a Business Entity

Liquidation is a legally regulated process for the dissolution of a company—from the shareholders’ decision, through the commencement of liquidation, the settlement of obligations to creditors, and the termination of contractual relationships, to the company’s removal from the commercial register. Since the amendment to the Commercial Code, a mandatory advance payment of €1,500 toward the liquidator’s fee must be deposited with a notary, and the minimum statutory duration of liquidation is 6 months.

Commencement of Liquidation

We will prepare a resolution by the shareholders or the general meeting regarding the dissolution of the company and the appointment of a liquidator—who must be appointed no later than 60 days after the dissolution resolution is adopted; otherwise, the court will appoint the liquidator.

Notarial Escrow for Advance Paymentsu

We will arrange for an advance payment of €1,500 toward the liquidator’s compensation and expenses to be deposited in a notary’s escrow account—without this advance payment, the liquidator cannot be registered in the Commercial Register.

Disclosure and Synergy

We will arrange for the publication of a notice inviting creditors to file their claims in the Commercial Gazette and will assist with the termination of contractual relationships and the settlement of tax obligations.

Final Phase of Liquidation

We will prepare the financial statements, the final report on the liquidation process, and a proposal for the distribution of the liquidation surplus, and we will file a petition to remove the company from the Commercial Register—at the earliest, after the statutory 6-month period following the commencement of liquidation has elapsed.
